These Terms of Service ("Terms") govern access to and use of FlowStudio, the multi-agent workflow platform made available at app.flowstudio-ai.com and described at flowstudio-ai.com (the "Service"), operated by Crestward Labs, of Vancouver, British Columbia, Canada ("Crestward Labs", "we", "us"). "Customer" and "you" mean the organization or individual that registers a FlowStudio account. By creating an account, connecting a workflow, or otherwise using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.
§1Acceptance and authority
If you create a FlowStudio account or connect a tenant on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.
§2The Service
FlowStudio is a visual builder for agentic workflows. It lets you compose agents, tools, Model Context Protocol (MCP) integrations, and custom code into automations that run under sequential, parallel, hierarchical, collaborative, event-driven, or hybrid orchestration patterns.
Early access. FlowStudio is currently offered in pre-launch, early access. Features, availability, and pricing may change without notice, and we do not guarantee uninterrupted availability, data durability, or any specific level of performance during this period. We will use reasonable efforts to notify Customers of material changes affecting stored data.
§3Accounts and tenants
You may register using email and password, a passwordless email code, or an OAuth provider (currently Google or GitHub). Each organization operates within its own tenant. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and must notify us promptly at admin@flowstudio-ai.com of any suspected unauthorized access. Information you provide on registration must be accurate and kept up to date.
§4Plans and fees
FlowStudio currently offers a Free plan available on self-serve signup, and Enterprise plans arranged directly with our team under a separate order form. If we introduce additional paid, self-serve plans, the fees, billing cadence, payment terms, and any applicable taxes for those plans will be presented to you at the time of purchase and are incorporated into these Terms by that reference. Enterprise pricing and payment terms are set out in the applicable order form, which forms part of these Terms for that Customer.
§5Bring-your-own AI provider keys
FlowStudio lets you connect your own accounts with third-party AI model providers (for example, OpenAI or Anthropic) and other services by supplying API credentials, which we store encrypted at rest and use solely to run workflows you configure. You are responsible for your account and any usage fees billed directly by those providers, for complying with each provider's own terms of use and acceptable use policies, and for reviewing outputs before relying on them. We make no representation about the accuracy, reliability, safety, or fitness of any output generated by a third-party AI model, and are not liable for the acts, omissions, downtime, or policy changes of any provider you connect.
§6Acceptable use
You will not use the Service to:
- generate, store, or distribute unlawful, infringing, or harmful content;
- attempt to disable, bypass, or escape the isolation of the sandboxed code-execution environment, or interfere with resource limits, quotas, or other tenants;
- connect to, query, or crawl any database, API, or website that you are not authorized to access, or in violation of that source's own terms;
- use messaging-channel bots (Slack, Telegram, Discord, WhatsApp, or similar) to send unsolicited communications or otherwise violate the policies of the underlying platform;
- reverse-engineer the Service except to the extent applicable law prohibits this restriction; or
- use the Service in violation of applicable export control or economic sanctions laws.
We may suspend or throttle activity that we reasonably believe violates this section.
§7Custom code and sandboxed execution
Custom tools you author run in an isolated, single-use container with enforced CPU, memory, wall-clock, and network-egress limits. We perform automated static analysis before code is stored, but we do not review, endorse, or warrant the correctness or safety of your code beyond that check. You are solely responsible for code you upload and any consequences of running it, and we may suspend execution that exceeds quotas or threatens the security of the Service.
§8Customer content and data sources
You retain all ownership rights in the workflows, agent configurations, custom tools, uploaded documents, and any data you connect through database connections, web crawling, or file uploads ("Customer Content"). You grant us a limited license to host, process, transmit, and execute Customer Content solely to provide the Service. You represent that you hold all rights, consents, and authorizations necessary to connect, upload, crawl, or otherwise provide any data to the Service, including any database you connect and any website you configure FlowStudio to crawl.
§9Third-party integrations and MCP servers
FlowStudio lets you connect AI model providers, Model Context Protocol (MCP) servers, and other external services that you configure. These third parties operate independently of Crestward Labs under their own terms. Once Customer Content reaches a service you configured, its handling is governed by that third party. We are not responsible for its acts, omissions, security practices, or availability, and recommend you review any third-party service before connecting it.
§10Marketplace
FlowStudio includes a marketplace where Customers can publish and acquire pre-built workflow templates. Where a template is offered for a fee, the price, license scope, and any creator revenue share are presented at the time of listing or purchase and are incorporated into these Terms by that reference. We may review, decline to list, or remove a template at our discretion, including for a violation of Section 6 (Acceptable Use) or a third party's intellectual property rights.
§11Intellectual property
Crestward Labs retains all right, title, and interest in the FlowStudio platform, the flowstudio_core engine, and all related trademarks and branding. Nothing in these Terms grants you rights in our intellectual property except as expressly stated. If you send us feedback about the Service, you grant us a perpetual, royalty-free license to use it without restriction.
§12Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service using at least the same degree of care it uses for its own confidential information, and will not disclose it except to personnel or subprocessors who need it to perform under these Terms. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or is independently developed.
§13Privacy and data processing
Our Privacy Policy describes how we collect, use, and process personal data and Customer Content, including our role as a processor of Customer Content on your behalf, the sub-processors we use, our security measures, data retention, and data subject rights. It is incorporated into these Terms by reference.
§14Disclaimers
The Service, and any output generated using it, including AI-generated output, is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated output may be inaccurate, incomplete, or unsuitable for your purpose and must be independently reviewed before you rely on it, particularly in regulated, safety-critical, or high-stakes contexts.
§15Limitation of liability
To the maximum extent permitted by law, Crestward Labs' aggregate liability arising out of or relating to these Terms will not exceed the fees you paid us in the twelve (12) months preceding the claim, or CAD $100 if you are on the Free plan. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility. This limitation does not apply to breach of Section 12 (Confidentiality), infringement of the other party's intellectual property, or a party's gross negligence or willful misconduct, to the extent such limitation is not permitted under the laws of British Columbia.
§16Indemnification
You will indemnify and hold Crestward Labs harmless from claims, damages, and expenses (including reasonable legal fees) arising from Customer Content, including data you connect, upload, or authorize FlowStudio to crawl without the necessary rights; your breach of these Terms; or your violation of applicable law.
§17Suspension and termination
We may suspend or terminate your access for breach of these Terms, suspected abuse, non-payment, or extended inactivity. You may close your account at any time. Following termination, you will have 30 days to export Customer Content before it is deleted in accordance with our Privacy Policy's retention terms, except where we are required by law to delete it sooner or retain it longer.
§18Export control and sanctions
You represent that you are not subject to Canadian, U.S., or other applicable trade sanctions, and that you will not use the Service in violation of export control or sanctions laws, including those imposed by the third-party AI providers you connect.
§19Governing law and venue
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province, without regard to conflict-of-laws principles. The courts located in Vancouver, British Columbia have exclusive jurisdiction over any dispute arising from these Terms, and each party submits to that venue.
§20Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-product notice and update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance.
§21General
These Terms, together with the Privacy Policy and any Enterprise order form, are the entire agreement between you and Crestward Labs regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control. Notices to you may be sent to the email address on your account; notices to us should go to the address in Section 22.
